MCA Amends Companies (Prospectus and Allotment of Securities) Rules, 2014

The Ministry of Corporate Affairs (‘MCA’) has, by way of the Companies (Prospectus and Allotment of Securities) Amendment Rules, 2025, dated February 12, 2025, amended Sub-Rule 2 of Rule 9B of the Companies (Prospectus and Allotment of Securities) Rules, 2014. Pursuant to this amendment the timeline for dematerialising the securities issued by a private company, other than a producer company which is not a small company as on March 31, 2023, has been extended from the previous deadline of September 30, 2024, to June 30, 2025.
