Amendments to SEBI Buy-Back of Securities Regulations

SEBI notified amendments to the Securities and Exchange Board of India (Buy-Back of Securities) Regulations, 2018 (‘SEBI Buy-back Regulations’) on May 17, 2024. Regulations 19 and 22B of the SEBI Buy-back Regulations, respectively provide for buy-back in physical form in the open market and book-building modes. These provisions have now been amended to exclude the impact on the price of equity shares of issuers, due to material price movement and confirmation of reported event or information, as per the framework specified under Regulation 30(11) of the SEBI LODR Regulations, for determination of volume weighted average market price and for calculation of the lower end of the price range thereunder.

This exclusion under the SEBI Buy-back Regulations is aligned with the framework under Regulation 30(11) of the SEBI LODR Regulations, which permits listed entities to confirm or deny reported events or information voluntarily.
