Amendment to Make Specified Provisions of Companies Act, 2013 Applicable to LLPs

The MCA, by a Notification dated February 11, 2022, provided that the provisions of Sections 90, 164, 165, 167, 206(5), 207(3), 252 and 439 of the Companies Act, 2013, will apply to LLPs, except where the context otherwise requires, with the modifications specified in the Notification. These provisions of the Companies Act, 2013, relate to, inter alia, the register of significant beneficial owners in a LLP, disqualifications for appointment of designated partner, limiting the number of LLPs where a person can be a designated partner, vacation of office of a designated partner, power of Central Government to direct inspection of books and papers of a LLP, conduct of inspection and inquiry by Registrar and deeming offences as non-cognizable.
