Amendment in Companies (Prospectus and Allotment of Securities and Debentures) Rules, 2014

The MCA, by its Notification dated May 05, 2022, has amended the Companies (Prospectus and Allotment of Securities) Rules, 2014, which is effective from May 05, 2022. This amendment prohibits any offer or invitation of any securities to a body corporate incorporated in, or to a national of, a country which shares a land border with India, unless such body corporate or the national, as the case may be, has obtained Government approval under the NDI Rules and requires such approval to be attached with the private placement offer cum application letter. Consequent change to reflect the same has also been made in Form PAS-4 (private placement offer letter), in the form of a declaration that the applicant does not require Government approval under NDI Rules, or that Government approval was required, has been obtained and is enclosed.
